Professional users subscribing to the TSE real-time market information need to submit the relevant exchange agreements to Phillip Securities ('PSPL') to seek exchange approval before real-time market information can be granted to the Professional user. The agreement should be completed by person/s that are authorized (as per Board resolution) to execute contracts on behalf of the company and be completed using the full legal name of the entity. Upon receipt of the agreement and payment, we will activate the TSE live price for the Professional Subscribers. It will take 1-2 working days.

Yes, Professional users may redeem via POEMS Reward Program. Do note that the redemption status will be reflected as 'Request-In-Progress'. In order to activate the TSE live price, you will be required to make payment at our cashier and submit the 'Declaration Form'. Please note that it will take 1-2 working days.

Q1. How do I know if I am a Professional or a Non-Professional investor?

You are a PROFESSIONAL investor if you meet any one of the following criteria for the entire term of your subscription and you must sign further agreements as well as are subject to the appropriate additional Exchange fee structure:

1. You are registered and billed under corporate name; or
2. You operate a financial services institution; or
3. You use the Data as an investment advisor or fund manager or non-personal usage; and

You are a NON-PROFESSIONAL investor if you meet all of the following criteria:

1. You are a natural person;
2. You do not operate a financial service institution;
3. You will use the Information exclusively for your private purpose, such as, in particular, the management of your own private assets;
4. You will not use the Information for business purpose;
5. You will not use the Information in any other manner for the purpose of third parties; and
6. You will not distribute the Information onward to third parties and will not make the Information available to third parties; in particular those parties who do not qualify as retail investors.

Please note that subscriber is not allowed to distribute or provide Market Information from the Subscriber'™s Service to any third party in any manner. Subscriber assumes all liability declaring status as a professional or non-professional and will be held accountable for all applicable penalties and/or the Exchange fees if declaration is incorrect. Q2. Why do I need to subscribe to the TSE live prices?

The real-time TSE market data service provided in our POEMS platforms is subject to important restrictions imposed by the TSE and its subsidiary.

Q3. What is the purpose of the Exchange Subscriber Agreements?

The purpose is to ensure that clients understand and agree to the terms of retrieval and use of real-time market data.

Q4. What is real-time market data?

For the purposes of the Exchange Subscriber Agreements, real-time market information means the collection or database of information and data known as 'Tokyo Stock Exchange Market Information'™ and which is more particularly described in Schedule 1*, as may be amended from time to time, and shall include data, symbols, information, statistics and other information in letter or numeral form (or both) disclosing, describing, summarising or otherwise commenting on or dealing with the trading of securities and derivatives contracts on the Exchange or such other markets, trading facilities or clearing facilities operated or administered by or for the Exchange.

Phillip Securities Pte Ltd and the Data Provider do not warrant or make any representations or claims concerning the validity, accuracy and timeliness or otherwise of the Information provided herein, nor shall Phillip Securities Pte Ltd or the Data Provider shall be liable or responsible for any claim or damage, direct or consequential, arising out of the use, interpretation or other implementation of said Information.

Q5. What happens if I do not accept the Exchange Subscriber Agreement?

If you decide not to accept the Exchange Subscriber Agreement, you will not have access to real-time market information.
To accept the agreement, please log in to POEMS 2.0 > Rewards > New Rewards Subscription > TSE Live Price (Non-Professional), the agreement will appear in a pop-up window. If you have already accepted the agreement before, you should not see this message again.

Q6. What if I have questions or concerns about certain clauses in the Agreements and where can I go for help?

Q7. I do not have time to review and accept these Agreements now. Will this prevent me from trading?

Without accepting these Agreements, you can continue to place orders via TRADE page. To view real-time prices, you have to accept the Agreements and subscribe the service accordingly.

Q8. If I do not subscribe to the TSE live prices, can I continue to trade in TSE market using POEMS platform?

Yes, you can submit order via the 'Prices (LP1)' or 'Trade (LP2)' tabs.

Q9. How do I get access to the TSE market live price?

You may view live prices on the 'Prices (LP1)' or 'Trade (LP2)' tabs.
If you do not wish to subscribe for the above TSE live price subscription, live streaming prices will not be available to you. However, you may continue to view prices with a 15 to 30 minutes delay.

Q10. If I used a delayed 'Prices (LP1)' or 'Trade (LP2)' tab to submit order, will my order be delayed by 15 minutes in the confirmation of order executed?

No, there is no change in the order execution process.
